Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into by and between
Impact Training and Development, Inc., a Canadian corporation
(“Impact,” “we,” “us,” or “our”), and the individual or entity applying to participate
in the Affiliate Program (“Affiliate,” “you,” or “your”).
By enrolling in the Affiliate Program, you agree to be bound by the terms of this Agreement.
1. Purpose of the Affiliate Program
The Impact Affiliate Program allows approved Affiliates to earn commissions by promoting
Impact’s proprietary digital simulations and learning products (“Simulations”) using a
unique affiliate tracking link provided by Impact.
2. Affiliate Enrollment & Approval
- Affiliates must complete the affiliate sign-up process.
- Acceptance into the Affiliate Program is at Impact’s sole discretion.
- Upon approval, Impact will provide the Affiliate with a unique affiliate link through the affiliate portal.
- Affiliate links are issued after successful signup and approval.
3. Affiliate Links & Tracking
- Each Affiliate will receive a unique tracking link.
- All sales tracked through this link will be attributed to the Affiliate.
- Tracking, clicks, conversions, and commissions will be visible through the affiliate portal.

Impact is not responsible for commissions lost due to technical issues beyond reasonable control
(e.g., browser blocking, disabled cookies, or improper link use).
4. Commission Structure
- Affiliates will earn $50 CAD per Simulation purchased through their affiliate link.
- Commissions are paid per sale, not per user.

Example: If a user clicks an Affiliate’s link and purchases three (3) Simulations,
the Affiliate earns $150 CAD.
- There is no cap on the number of commissions an Affiliate may earn.
5. Affiliate Attribution & User Registration

Once a user clicks an Affiliate’s link and completes a purchase, that user is permanently
associated with that Affiliate.

All future Simulation purchases made by that user will be attributed to the original Affiliate,
unless otherwise determined by Impact in cases of fraud or misuse.
6. Payment Terms
- Affiliate earnings are calculated based on completed and paid transactions.
- Affiliate payments are issued on the final day of each calendar month.
- Payments will include all eligible commissions earned during that month.
Payment Method
- Affiliate payments will be made via PayPal.

Affiliates are responsible for all PayPal transaction fees, currency conversion fees,
or other charges imposed by PayPal.

The Affiliate must ensure that valid PayPal account information is provided and kept up to date.
Other payment methods may be considered at Impact’s discretion. Affiliates wishing to discuss
alternative payment arrangements must contact Impact Training and Development, Inc. in advance.
Approval of alternative payment methods is not guaranteed.
7. Taxes
- Affiliates are solely responsible for reporting and paying any applicable taxes related to affiliate income.
- Impact does not withhold taxes on affiliate payments.
- Affiliates may be required to provide tax documentation upon request.
8. Intellectual Property
All Simulations, content, trademarks, logos, branding, frameworks, and materials provided by
Impact are proprietary intellectual property.
Affiliates may:
- Use approved Impact marketing materials
- Use Impact’s name and branding solely for promotion under this Agreement
Affiliates may not:
- Modify or misrepresent Impact content
- Claim ownership of Simulations
- Copy, reproduce, distribute, or resell Impact content
- Imply partnership, employment, or ownership beyond affiliate status
9. Acceptable Promotion Practices
Affiliates agree to:
- Promote Impact honestly and accurately
- Comply with all applicable advertising, consumer protection, and disclosure laws
- Clearly disclose affiliate relationships where required by law
Affiliates may not:
- Make false or misleading claims
- Engage in spam, deceptive marketing, or unethical practices

Use paid advertising that impersonates Impact or bids on Impact’s branded keywords
without written permission
10. Fraud, Abuse & Misuse
Impact reserves the right to:
- Withhold commissions
- Reverse commissions
- Terminate affiliate accounts
If fraud, abuse, or misuse is suspected, including but not limited to:
- Self-referrals
- Manipulation of tracking
- Unauthorized incentives
- Misrepresentation of Impact products
11. Confidentiality
Any non-public business, financial, technical, or operational information shared with Affiliates
is confidential and must not be disclosed to third parties.
12. Termination
Either party may terminate this Agreement at any time, with or without cause, by written notice.
Upon termination:
- Affiliate links will be deactivated
- No new commissions will accrue

Earned but unpaid commissions will be paid according to the normal payment cycle,
provided no violation occurred
13. Limitation of Liability
Impact shall not be liable for indirect, incidental, or consequential damages arising from
participation in the Affiliate Program.
Impact’s total liability under this Agreement shall not exceed the total commissions paid
to the Affiliate in the preceding six (6) months.
14. Independent Contractor Relationship
Affiliates are independent contractors. Nothing in this Agreement creates:
- An employment relationship
- A partnership
- A joint venture
- Authority to bind Impact
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Canada,
without regard to conflict of law principles.
16. Modifications
Impact reserves the right to update or modify this Agreement at any time. Continued participation
in the Affiliate Program constitutes acceptance of updated terms.
17. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the Affiliate
Program and supersedes all prior agreements or representations.
